These terms of service ("Terms") apply to all services provided by FBG-PREP. They are deemed accepted upon the first shipment entrusted to FBG-PREP.
1. Purpose
FBG-PREP provides a logistics preparation service for marketplace sellers: receiving, inspection, labeling, packaging, shipping. Details of the services are available on fbg-prep.com/comment-ca-marche.
2. Pricing
Prices are published and accessible on the fbg-prep.com/tarifs page. All prices are in euros, excluding tax. Applicable VAT is 20%.
FBG-PREP may modify its pricing at any time, with 30 days' notice for active clients.
3. Orders and quotes
Services are ordered by email or via the client portal fbg-prep-app.com. A quote may be issued upon request for large volumes (more than 10,000 units/month).
4. Minimum volume
Access to the service is subject to a minimum volume of 150 sellable units per month.
5. Payment
Invoices are issued on a monthly basis and payable upon receipt, at the latest within 30 days end of month.
In the event of late payment, penalties at the legal rate increased by 10 points, as well as a flat-rate recovery indemnity of 40 €, will be applied without prior formal notice.
6. Lead times
FBG-PREP undertakes to prepare and hand over shipments to UPS within the following time frames: 24 h for volumes ≥ 2,000 units/month, 48 h standard, 72 h for smaller volumes. These deadlines run from actual receipt of the goods at the warehouse.
7. Liability
FBG-PREP implements reasonable means to preserve the integrity of the goods entrusted to it. Its liability is limited to the pre-tax purchase value of the goods, up to [[TO BE PROVIDED — professional liability ceiling]].
FBG-PREP cannot be held responsible for delays attributable to the carrier, to marketplaces, or to a case of force majeure.
8. Accepted goods
FBG-PREP does not accept illegal, dangerous, expired products, counterfeits, or products requiring specific authorizations (alcohol, medicines, etc.) without prior written agreement.
9. Termination
The Terms are concluded without a fixed term. Either party may terminate at any time, by email. Ongoing services will be invoiced.
10. Applicable law and jurisdiction
These Terms are governed by French law. Any dispute falls within the exclusive jurisdiction of the courts of [[TO BE PROVIDED — RCS district]].
